Terms and Conditions for Calora Medical Supplies Inc.
These Terms and Conditions (“Terms”) govern the sale and distribution of medical supplies and equipment by Calora Medical Supplies Inc. (“Calora”, “we”, “us”, or “our”) to healthcare providers, distributors, home health care providers, and pharmacy retail stores (“Buyer” or “you”) within Canada.
Compliance with Canadian Regulations
Medical Device Establishment Licence (MDEL)
Calora Medical Supplies Inc. holds a valid MDEL as required by Health Canada.
Buyers are responsible for maintaining their own MDEL if required and must provide up-to-date information upon request.
Medical Device Classification
Calora distributes medical devices and supplies falling under Classes I through IV as per Health Canada’s classification system.
Buyers are responsible for verifying the correct classification and intended use of the devices they purchase.
Post-Market Surveillance
Both Calora and the Buyer are responsible for reporting incidents and participating in recalls as required by Health Canada.
Order and Acceptance
Order Placement
Orders can be placed through our website, by email, or by phone.
All orders are subject to acceptance by Calora.
Order Confirmation
An order is only deemed accepted when Calora issues a written order confirmation.
Pricing and Payment
Pricing
All prices are in Canadian dollars and are subject to change without notice.
Prices do not include applicable taxes, shipping, or handling charges.
Payment Terms
Payment is due within 30 days of the invoice date, unless otherwise agreed in writing.
Accepted payment methods include EFT and Credit Card (Fees to process credit card payments may apply).
Late payments are subject to monthly interest charge at Calora's discretion.
Taxes
Buyer is responsible for charging taxes when reselling unless products are zero-rated or exempt.
Delivery and Shipping
Shipping
Shipping costs are the responsibility of Calora unless order falls below the 250$ threshold for free freight. A fixed fee of 24.95$ applies to any order below the 250 $ minimum.
Risk of loss transfers to the Buyer upon delivery to the carrier (FOB Shipping Point).
Delivery Times
Delivery times are estimates only and not guaranteed.
Calora is not liable for any delays in delivery.
Inspection and Returns
Buyer must inspect all products upon receipt and notify Calora of any damages or discrepancies within 5 business days.
Returns are subject to Calora’s Return Policy and may incur a restocking fee.
Limited Warranty and Liability
Limited Warranty
Calora warrants that products will be free from defects in materials and workmanship for 30 days from the date of delivery.
This warranty is limited to repair or replacement of the defective product.
Limitation of Liability
Calora’s liability is limited to the purchase price of the product.
Calora is not liable for any indirect, incidental, or consequential damages.
Intellectual Property
Trademarks and Patents
All trademarks and patents associated with the products are the property of their respective owners.
Buyer agrees not to infringe upon or misuse any intellectual property rights associated with the products.
Confidentiality
Confidential Information
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of business.
Termination
Termination Rights
Either party may terminate the business relationship without notice.
Calora may immediately terminate the relationship in case of Buyer’s breach of these Terms.
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the province of New-Brunswick and the federal laws of Canada.
Amendments to Terms
Updates to Terms
Calora reserves the right to update these Terms at any time.
